From articles of association to commercial register entry – forming your GmbH or UG in Braunschweig.
The formation of a GmbH or UG (limited liability) requires notarization. We notarize the articles of association, draft the commercial register application and accompany you through to registration.
Whether a single-person formation using the model protocol or a multi-member company with individual articles: as notaries with a commercial law background, we tailor your formation documents precisely — on request also via the online procedure of the Federal Chamber of Notaries.
You provide the key data (name, seat, purpose, shareholders, share capital) – e.g. via our data collection form.
We prepare the articles of association or model protocol, list of shareholders and register application.
Notarization of the articles and certification of the register application in one appointment (approx. 30–45 minutes).
You open the business account and pay in the share capital (at least €12,500 for cash formation).
We file the application electronically with the commercial register; upon entry, the GmbH comes into existence.
The notary costs of the formation are fixed by law and depend on the share capital (minimum transaction value €30,000).
Example cash formation, share capital €25,000, individual articles, one or two shareholders: notarization of the articles (2.0) €250, drafting/certification of the register application €62.50, preparation of the list of shareholders and execution, plus expenses and VAT — in total usually approx. €400–500 net. Single-person formation with model protocol: 1.0 fee of €125 plus application. Court fees of €150 for the commercial register entry are added.
