Many corporate law transactions require notarial certification. This applies to the formation of companies, amendments to articles of association, share transfers, and corporate transformations.
We prepare all necessary deeds and handle the registration with the commercial register. Our experience in corporate law enables us to consider all relevant aspects of your matter during the certification process.
We discuss the planned corporate measure and determine the required notarial steps – from notarization to the drafting and certification of commercial register applications.
We prepare the draft articles of association, shareholder resolution, or transfer agreement.
All parties review the drafts and provide any amendments.
The deeds are read aloud and signed. For company formations, the articles of association are read aloud; we additionally prepare the shareholder list and file it.
We electronically file all documents with the commercial register and monitor the registration process.
Notary fees for corporate law matters are determined by the Court and Notary Fees Act (GNotKG). The fees are based on the value of the transaction, such as the share capital for formations or the purchase price for share transfers.
For a GmbH formation, the notary fees alone typically amount to approximately EUR 700 to EUR 1,200 depending on complexity; court fees for the commercial register entry are added. We are happy to tell you the exact amount on request.
We are happy to arrange a personal consultation for your notarial matter. Please contact us by phone or email.
Notarial official activities are subject to the statutory fees under the German Court and Notary Costs Act (GNotKG). A free initial assessment does not apply to notarial official activities.
